Terms of Service

These Terms of Service ("Terms") govern access to and use of Vortevia (the "App"), a Shopify embedded application operated by Vortevia ("we", "us", or "our"). By installing or using the App, you ("Merchant", "you") agree to be bound by these Terms.

If you do not agree, do not install or use the App.

1. Who We Are

2. Scope of the Service

Vortevia is an AI-powered content automation tool designed to:

  • Sync products from your Shopify store
  • Generate SEO-focused keywords and articles using AI
  • Publish content to your Shopify blog
  • Automate content creation and publishing based on your settings

The App provides tools only. It does not provide legal, marketing, or SEO guarantees.

3. Eligibility and Account Responsibility

You must:

  • Operate a valid Shopify store
  • Have authority to install apps on the store
  • Ensure all information you provide is accurate

You are responsible for all activity that occurs through your store's use of the App.

4. AI-Generated Content Disclaimer

The App generates content using artificial intelligence.

You acknowledge and agree that:

  • All content is generated automatically
  • AI-generated content may contain errors, omissions, or inaccuracies
  • You are solely responsible for reviewing, editing, approving, and publishing content
  • Vortevia makes no guarantees regarding SEO rankings, traffic, conversions, or compliance

You use generated content at your own risk.

5. Acceptable Use

You agree not to use the App to:

  • Violate Shopify's Terms of Service or API policies
  • Publish unlawful, misleading, infringing, or harmful content
  • Misrepresent AI-generated content as human-written where prohibited by law
  • Abuse, overload, or interfere with App infrastructure

We reserve the right to suspend or terminate access if misuse is detected.

6. Subscriptions, Trials, and Billing

6.1 Billing Platform

All payments are processed exclusively through Shopify Billing. We do not use external payment processors.

6.2 Trial Period

The App may offer a free trial with limited usage. Trial duration, limits, and features are displayed inside the App and may change.

Unused trial usage does not carry over.

6.3 Subscriptions

Paid plans are billed on a recurring basis through Shopify. Subscription details, pricing, and limits are shown inside the App at the time of purchase.

Subscriptions renew automatically unless cancelled through the Shopify admin.

6.4 Cancellation

You may cancel your subscription at any time via Shopify. Access remains active until the end of the current billing cycle unless otherwise stated.

6.5 Refunds

All charges are non-refundable unless required by applicable law. Cancellation does not result in partial or prorated refunds.

7. Tokens and Usage Limits

The App may use a token-based system to limit content generation.

You acknowledge that:

  • Tokens represent usage, not currency
  • Tokens reset based on your billing cycle
  • Unused tokens do not roll over unless explicitly stated
  • Usage limits are enforced automatically

We are not responsible for content generation delays or failures caused by insufficient tokens.

8. App Availability and Changes

We may:

  • Modify, update, or discontinue features
  • Change pricing, plans, or limits
  • Perform maintenance that temporarily affects availability

We are not liable for downtime, data loss, or business interruption resulting from such changes.

9. Data and Privacy

Use of the App is also governed by our Privacy Policy.

By using the App, you consent to the collection and use of data as described in the Privacy Policy, including processing by third-party AI providers.

10. Intellectual Property

The App, its code, branding, and interfaces are owned by Vortevia.

You retain ownership of:

  • Your store data
  • Content you publish

We grant you a limited, non-exclusive, non-transferable license to use the App while your account is active.

11. Termination

We may suspend or terminate your access if:

  • You violate these Terms
  • Your Shopify subscription is cancelled or expires
  • Required by law or Shopify policy

You may stop using the App at any time by uninstalling it from your Shopify store.

Upon termination, access to the App ends and data handling follows the Privacy Policy.

12. Limitation of Liability

To the maximum extent permitted by law:

  • The App is provided "as is" and "as available"
  • Vortevia is not liable for indirect, incidental, consequential, or lost-profit damages
  • Our total liability shall not exceed the amount paid by you to Vortevia in the preceding billing cycle

Some jurisdictions do not allow certain limitations, so these may not fully apply to you.

13. Indemnification

You agree to indemnify and hold harmless Vortevia from claims, damages, or losses arising from:

  • Content you generate or publish
  • Your use of the App
  • Your violation of law or third-party rights

14. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict of law principles.

Courts located in India shall have exclusive jurisdiction over disputes arising from these Terms.

15. Changes to These Terms

We may update these Terms from time to time.

Updated Terms become effective when posted. Continued use of the App after changes constitutes acceptance.
